Oando PLC has successfully completed its acquisition of the Nigerian Agip Oil Company (NAOC) from Italian energy giant Eni for a total consideration of $783 million.

The company confirmed via a press release that the deal has been completed representing a significant milestone in Oando’s long-term strategy. The transaction includes reimbursement and consideration for the asset.

The acquisition is expected to solidify Oando’s position in Nigeria’s oil and gas sector, enhancing its operational footprint and expanding its upstream capabilities.

Recall Italian Oil Major, Eni, reported it had received the approval of the Nigerian Upstream Petroleum Regulatory Commission (NUPRC) to sell its unit, Nigerian Agip Oil Company (NAOC), to Oando.

Eni said NAOC focuses on onshore oil and gas exploration and production as well as power generation in Nigeria.

Key Transaction Details
Increased Stake in Key Oil Blocks: The acquisition boosts Oando’s participating interest in Oil Mining Leases (OMLs) 60, 61, 62, and 63 from 20% to 40%. This expands Oando’s ownership in all NEPL/NAOC/OOL Joint Venture assets, encompassing 40 discovered oil and gas fields, of which 24 are currently producing.

Enhanced Infrastructure Ownership:
Oando now has a stake in vital infrastructure, including approximately 1,490 km of pipelines, three gas processing plants, the Brass River Oil Terminal, and the KwaleOkpai power plants (960MW capacity). This acquisition further strengthens the company’s infrastructure footprint in Nigeria.

Significant Increase in Reserves: Oando’s total reserves have jumped from 505.6 million barrels of oil equivalent (MMboe) to over 1 billion barrels, representing a 98% increase based on 2022 reserve estimates.

Immediate Cash Flow Impact: The transaction is expected to be immediately cash generative, significantly enhancing Oando’s financial position and cash flows.

Strategic Importance
Wale Tinubu, Group Chief Executive of Oando PLC, highlighted the significance of this acquisition as the culmination of a decade-long effort that began with Oando’s acquisition of ConocoPhillips’ Nigerian assets in 2014.

Tinubu stated, “This is a win for Oando and every indigenous energy player as we take our destiny in our hands and play a pivotal role in the next phase of Nigeria’s upstream evolution.”

He further emphasized Oando’s commitment to optimizing the acquired assets’ potential while maintaining a focus on responsible practices, sustainable development, and contributing to Nigeria’s goal of boosting oil production.

Oando has cautioned that while it believes the acquisition will yield significant benefits, the transaction involves inherent risks and uncertainties. These include potential changes in project parameters, the future price of crude oil, and risks associated with international operations. The company advised investors to consider these factors when evaluating its future prospects.

Despite the uncertainties, Oando remains optimistic about the acquisition’s potential to drive growth and value creation, particularly as it explores diversification opportunities in clean energy, agri-feedstock, and energy infrastructure.

Ignorance mixed with criminal defamation and mischief is bliss to you. Smh

Massive Congratulations to Oando Plc!

This is another milestone after the 2014 acquisition of ConocoPhillips during the locust years of PDP.

Many ignorant people like OP don't know this is not the first major deal by Oando Plc, they don't know that it's a company that belongs to every Dick, Tom and Harry who can buy its Oando shares on NSE and JSE currently selling cheap at N43.50 per share. Oando shares that you can buy first thing tomorrow even if it's as low as N5k worth!! You are here swimming in ignorance that it's a Tinubu company. Smh.

These loud, uncouth, criminal defamers are mostly ignorant people who don't even know that the Nigerian Presidency has nothing to do with Oando and that OVH is not even owned by Oando Plc. Smh.

May this time bring the company and its shareholders great and bountiful rewards.

Shareholders of Oando had gone through thick and thin with huge debt after their company share price crashed owing to oil price crash immediately after the ConocoPhillips deal, so bad that they have not recieved dividends for almost a decade! Thank you Oando Plc shareholders for not giving up.

May God continue to bless Oando and the Federal Republic of Nigeria.

Can you guys just stop lying? Where and when did Oando acquire NNPC retail? Oando divested fully from OVH long before OVH was acquired by NNPC. Both NNPC retail and OVH are fully owned subsidiaries of NNPC so what’s the uneducated noise all about?

Atiku is either a complete illiterate or a very mischievous person for issuing that poorly informed press statement. Sadly, poorly educated folks like you are flying around with the same nonsense.

For the avoidance of doubt, NNPC is not selling NNPC retail to anyone. What NNPC did was to merge NNPC retail limited (an NNPC subsidiary) with OVH (another NNPC subsidiary).

OVH does not belong to OANDO, Wale Tinubu or Bola Tinubu. It belongs to NNPC.

Cry more. We love your tears. Na only for online una propaganda and tears end. So if it keeps you busy, keep your tears flowing.

Just like Elon said, propaganda is not about telling lies but about hiding the truth. The truth here is that Oando legitly sourced their funding to purchase AGIP and the details are in the open.

—Below is Oando acquiring a company in 2014, I guess Tinubu is also the president then.

—Below is last year when Oando borrowed $800m from Afriexim bank to acquire this same AGIP

Long before Tinubu even gor sworn in, I kept mentioning it here albeit in my usual sarcastic manner that the Dangote Refinery might lead us to our second ever civil war...

It is a huge pity for the geographical expression and her citizens with none to spare for Dangote himself.

The poor citizens will end up as usual to be the grasses that'd suffer under these fights..

Indeed, Oando PLC is a public liability company with shareholders, so, it's an impressive legal acquisition of the Italian Agip company unit called Nigerian Agip Oil Company with the knowledge and backing of it's shareholders.

The best practices in community relations in the oil-producing communities must also come into full effects.

This is wishing Mr. Wale Tinubu, the brilliant Law graduate of the world-class London School of Economics and Political Science and the entire Oando PLC team the best in steering the ship of Oando Plc in the upstream sector to bring dividends to all the shareholders via the dual listings on the Nigerian Stock Exchange and the Johannesburg Stock Exchange (which is the biggest stock exchange in Africa).

Oando Plc sold its downstream assets to NNPC Limited in 2022, as it shifted its business operations to focus on the upstream oil sector. However, in 2022, the group posted a revenue of N1.56 trillion, which increased by 15% to N1.79 trillion in 2023.

Wale Tinubu, Group Chief Executive of Oando PLC, highlighted the significance of this acquisition as the culmination of a decade-long effort that began with Oando’s acquisition of ConocoPhillips’ Nigerian assets in 2014.

What oando is pulling should be among the list of wonders of the world..

From austerity and struggling to acquisitions upon acquisitions all in less than 2 years..🤔🤔

They even bought over the NNPC retail that acquired them in 2022.. NNPC retail had up to 550 stations across the country as at the time it acquired all the less than 100 Oando Stations across the country.. Today due to some government-influenced manoeuvre, Oando has taken over all those 550 stations from NNPC.. if that is not 'american wonder' as said in local parlance, I wonder what else is..

It used to be a thing of joke that one day, one politician would sell Nigeria and put the money in his pocket and walk away.. it's happening before our very eyes..
