From HUAXIN Cement document that I read, it says 100% of HOLCIM shares and not 100% of the whole Larfarge WAPCO shares....
100% of HOLCIM shares is about 83.81% of the target Company, which is HOLCIM......valued @USD838.13million.

Just trying to say the meaning I read to the doc as well.....i know yours na inside info. smiley

Meanwhile, WAPCO was on fullest bid @63.80!!

Those offers that didn't get picked up last week Friday will be thanking their stars while those that panic sold @57/58 will be blaming themselves....

If you believe that a major cement maker exited Nigeria, once considered a high-growth cement market, because of carbon, then you have no clue how rich men think.

What these multinational executives seek the most to support their stock prices at home is profitable growth. But Nigeria technically hasn't stopped growing: 70% of our population is under 30 years, so we'll need cement and other building products to construct new homes, bridges, and landmarks for decades to come.

So why are they leaving? And why, too, did Nestle leave, even though almost as many babies are born in Naija each year as the entire population of Switzerland, their home base? Why is Guinness abandoning a young, bustling market of alcohol lovers?

They're leaving because Nigeria's currency devaluation makes that organic opportunity turn negligible when translated to their own currency. That's why the Large deal is happening in the first place. It is Econ 101 playing out in real life.

It talks about TARGET COMPANY and ULTIMATE TARGET COMPANY........which to me means HOLCIM and the MTO to be launched thereafter ......

WHAT IS IN THE TAX REFORM...
1. Any business with less than N50million turnover are exempted from tax payment.
2. over 90% of workers in public and private sector will no longer pay income tax
3. Over 82% of what low income persons consume will be VAT free.
4. scrapping over 50 nuisance tax suffered by local businesses
5. VAT will no longer be calculated base on where the companies have their headquarters but where their goods are consume
6. the rich to pay more tax while the poor will stop paying taxes..
7. Consumption tax collected by states will be eliminated completely
8. FG share of VAT to reduce from 15% to 10% as states and LGAs now get 90%
9. Those earning less than N1.7m monthly will now pay less income tax
10. Customs, NUPRC and other govt agencies will no longer collect tax as only one Agency will be responsible for collection of all taxes in NGR
11. Those receiving less than N9million per anum could have their income tax cut by half
12. The bill could lead to abolition of other multiple tax laws like the stamp duty act
13. Over 90% of small business would no longer pay profit tax
14. Gradual increase of VAT from 10% in 2025 to 15% in 2030... With almost every goods consume by low income earners exempted from VAT
15. Many NGR companies pay over 60 types of different tax & levies... The bill seeks to end this factor killing NGR industries.

Acquisition price per share is not yet out....but people already started calculating based on the OS, exchange rate and the aggregate purchase price from HUAXIN.

You made a point but
could also be that the buyer made a mouth watering offer as well.

The buyer could as well be more eager to buy than the seller is willing to sell..

Although not stated. But from the excerpt you made above it is clear that they wanr to focus on high grow region. Nigeria appears to be the very opposite of a "high growth" region. Nigeria is very volatile at the moment.

In global trade Nigeria is a country not a region. Africa is the region. They are clearly divesting from the African region, in which Nigeria happens to be.

They've been in this game since at least 2001, built a new cement plant with new tech, developed supply chains -- all in the hope of tapping this large and growing consumer market, the Giant of Africa. Why up and leave all of a sudden, as have manufacturers of other consumer goods, like Nestle and Guinness?

As they have reasons to sell is the way another company has reasons to buy.If no one was willing to buy is when you will make negative accusations. The company selling didn't say they are selling at a discount or lose.So many companies have closed shop too in USA or moved to China. If the company is closing down completely would have given us reason to worry. Alhaji sold flour to olem.Olem is still doing fine and even better under the new owner
