I was at CI LEASING PLC EGM today, share reconstruction was endorsed by shareholders.

I have revised my projection for this stock and I am giving it a SELL.... From my analysis, considering the tough operating environment and fierce competition from the market leader- Dangote Cement, the ability to grow future earnings is very very bleak. Based on this, I am going to trade my rights, sell my stake and wait until the outlook looks better before joining the bus.

Your decision is good for me and my fellow BARGAIN HUNTERS to see if we can get it below the right issue price. BRAVO.

Did the report reveal anything new?

I remember when they said the rights were oversubscribed?

SEC is only doing something when the 'major' shareholders started fighting after they've both milked the other shareholders dry!

I was also at the EGM today and feedback from the meeting is as follows

1. C&I Leasing will be issuing shares for the conversion of some of Abraaj's their convertible debt notes and will also be raising funds from the capital market. The company spent N2.75b on interest in 2016 and will like to substitute some of their debt with equity to reduce interest expense and increase profits.

2. Their authorized share capital is inadequate to accomodate the allocation of shares for the conversion and capital raise.

3. It is more cost effective to reconstruct the existing shares as opposed to increasing the authorized share capital. Reconstruction will lead to a cost saving of a minimum of N130m.

4. The board represents about 30% of the shares of C&I Leasing and it is in their best interest to take steps to optimize the value of these shares.

5. Approval had previously been obtained for the reconstruction of C&I Leasing shares in 2013 on the basis of 1 share for every 8 shares they however will like to review this downwards to one share for every 4 shares.

6. On the basis of the above argument the resolutions supporting the reconstruction was approved. The resolution supporting the debt and capital raise were also approved.

7. The Chairman also confirmed that the company is on track to declare the best result in the history of the company. He stated that the results of the first 9months N950m had surpassed 2016 full year N920m which is at the moment the best full year PAT ever. In addition, 6 patrol vessels stuck in the ports for 9months was put into service for an NLNG contract in the last half of the year and has started contributing to the bottom line.

8. THe Chairman confirmed that the company will declare the highest dividend it has ever declared for 2017.

9. The conversion price of the convertible notes and the price of subsequent capital raise has not yet been determined.

10. Interim dividend was not paid in 2017 as the funds was used in retiring some debt notes.

I agree with u that SEC is late on this Oando matter. But hey as they say, better late than never....Hope the truth is revealed at the end of the day...

what a detailed breakdown of the meeting. good one.

The only thing I have to say is that reconstruction in the nigeria context has never favoured shareholders. For me, C & I is a no-go area for now.

Nice one.
I'm very neutral on both perspectives. I hold no strong views on what will work or not.
I simply adjust to realities as they occur and change.
If the economy for some reason decides to float , i will adjust my books to be slightly bullish. (PLS i don't mean float is d answer)
If the economy maintains status quo , i will stay on the side of caution (the index is proof of the bleeding)
If they try some things else like ''Asia Tiger model'' , we would adjust our expectations accordingly
Our common goal here is to make good returns on investment , reduce risk and trade better for the long run.

If you consider it in light of the stiff industry competition and protection the market leader enjoys, you will understand that the numbers need to be further discounted..This has really put Lafarge in a very precarious situation as investors will like to see how it intends to regain lost market and translate it to earnings growth. Thus, I maintain my position on the stock until the fundamentals change.
