Best to immediately KEY into UACN now.
There's an unbundling that would bring about an allotment of UPDC to existing UACN shareholders. ...as UACN looks to divest its entire stake in UPDC.
More like the UBA and AFPRUD/UCAP style.
...and where UPDC will be 'reborn' and made a healthy coy again !!

It is actually UPDC shareholders that will key into UPDC Reits. UACN is planning to exit UPDC totally. They must have found a saviour to bail them out of their misery.

Great move by UACN !!
I have always thought that the company should've unbundled some of their business arms(particularly the loss-making and not-so-profitable ones) and realign its focus towards their areas of strength.
Its a win win for all stakeholders of both UACN and UPDC.

In the short to mid term, this move should visibly reflect in the coys(UACN) bottom and top line. More preserved cashflow to help boost revenue from core profitable businesses that can drive earnings.
UPDC has been a torn in the flesh to UACN for sometime now.

Though keying into UPDC will not be a bad idea(its currently on full bid), it will be much better to go the UACN route to acquire some stake(indirectly) from UPDC after the proposed unbundling.

Looking @ the proposed notice, an indirect route to UPDC via UACN should be a much better route to VALUE !!

The choice is urs to make.
That said, due diligence still applies.

A CHOICE BETWEEN UPDC and UACN !!

Everything will depend on weather u want to play it short or not(investment horizon)
In my view, any price rise in UPDC will likely be short-lived.
The most logical reason for the full bid(chase) might be because the said rights(which will be channelled towards delaveraging UPDCs over burdened long-term debt stance) might have been priced @ a good premium to mkt. ...or maybe the source of funding(likely a PE investor) plans to take up their stake @ a P/B valuation premium to mkt.

However, it will be better to think of the proposal this way;

Buying into UPDC now will give one a stake in the RE trust arm(UPDC reits) which ceases to exist post proposed unbundling.
But buying into UACN gives one a stake in UPDC plus a follow-up stake in the REITS(updc reits), as well as the possibility to tap in from(MoS discount in view) the VALUE of an underpriced asset.
Again, aligning with the 1st would simply mean buying into the price of a weak asset(fundamentally) with an assumption that it will be less the proposed offer price.
...while keying into UACN will equate to buying an increasingly healthier asset(fundamentally) with the mindset of tapping into a feasible growth in future value.

Bottom line: Between UPDC and UACN, aligning with one will be chasing PRICE, while doing so with the other will be buying VALUE !!
...and since VALUE preceeds PRICE(not the other way round), I would gladly choose to align with UACN ahead of UPDC.

But that's just me. ...so due diligence should still remain ur 1st priority.
My advise: Pls kindly follow ur instinct.
