COURT OF APPEAL COMES TO THE RESCUE OF A BANK WHICH ERRONEOUSLY CREDITED ITS DEBTOR WITH N20M

The Respondents, Office Devices Ltd. & Mr Boni Obieze, owed the Appellant, Keystone Bank Ltd., the sum of about N18.6m. While the debt remained unpaid, the Bank erroneously credited the Respondents’ account with the sum of N20m.

The Respondents, seeing the N20M as some form of miracle, immediately put same into use until they drew the last kobo of it. This happened while the Bank awaited a directive to reverse the credit. All efforts to get the Respondents to return the funds proved abortive.

Frustrated, the Bank wrote a petition to the Economic and Financial Crimes Commission (EFCC) and also filed a negative Credit Risks Management System (CRMS) report against the Respondents to the Central Bank of Nigeria (CBN).

The Respondents sued the Bank at the High Court of Lagos State claiming that the contents of the petition to the EFCC and the CRMS report defamed them. Their contention was that they did not divert the funds but invested same into business ventures that could bring quick returns.

The trial Court held the Bank liable for the tort of defamation and awarded damages.

Aggrieved, the Bank appealed to the Court of Appeal which held that the trial Court failed to properly evaluate the evidence/or glossed over the same.

After a thorough evaluation of the facts, the Court had no difficulty demystifying the Respondents’ intrigues.

COURT OF APPEAL JUSTICE PRAYS TO GOD OVER PROBLEM OF DELAY IN THE ADMINISTRATION OF JUSTICE

Looking at the prayers of his Lordship in the instant case, it is only advisable that litigants and lawyers must beware.

[b]"Appellant ought to appreciate that commercial transactions are not to be blocked; blighted and bloated by technicalities and foisted delays that take their toil not only on their opponent’s time/resources but indeed delays that clog on the administration of justice and dissipates judicial energy and public resources are condemnable. The prolongation of this needless dispute as enacted in this needless appeal and avoidable costs in resources of manpower and material and monetary cost is reprehensible. Sadly, such cases, as in this appeal, abound and litter the courts; and with their undeserving, though sometimes attendant “innocent” criticism and harassment of the judex as being responsible for the delays in the administration of justice! Compelled to hear on the merit, all cases that may be spiteful and undeserving, is nonetheless the injunction of fair hearing under our accusatorial jurisprudence. The cross of the innocent Judge! MTN entered into a Trade Agreement with Corporate Communications Inv. Ltd. (“the Respondent”) who is one of MTN’s trade partners. The Agreement was drafted by MTN and sent to the Respondent for its signatures. The Respondent signed but MTN did not, and kept it. Parties however transacted on the basis of the contract. MTN thereafter terminated the Agreement without giving the required notice, relying on the relevant clause in the Agreement.

The Respondent (through its Counsel) challenged the contract termination and requested for amicable resolution. MTN was unmoved. Aggrieved, the Respondent sued MTN claiming damages for breach of contract. The Respondent pleaded that the abrupt cancellation of orders without a formal and valid termination of their Agreement has caused it huge financial loss.

The trial Court found for the Respondent and awarded N25 Million as damages and costs of N20,000. MTN's appeal to the Court of Appeal was dismissed.

At the Supreme Court, MTN sought to take advantage of its “ingenious booby trap” of not signing the Agreement. The Supreme Court had to deal with this and other serious contentions.
