AVOID PENALTIES FROM CAC ON YOUR REGISTERED BUSINESS BY FILING YOUR ANNUAL RETURNS PROMPTLY! Annual Returns filing is a compulsory payment required from every registered business owner on a yearly basis, counting from 18 months after the date of registration for business names and companies. These payments are quite insignificant just #3,000 for business name and #5,000 for companies but because most business owners ignore them, they keep piling up year after year with penalties that follow as a result of default, to the extent that it becomes too heavy. Failure to file these annual returns puts your business in red light as you could be denied a contract, business visa application, and even possibility of having your business bank account frozen. Recently, CAC turned its radar on businesses that have been owing annual returns and have their registration status showing INACTIVE. If CAC is to implement its planned policies against businesses owing annual returns, you may be at risk of losing your company, business name, or NGO as they will delist it from their database, ensuring no individual or corporate organization does any business with you. Reach out to us by Call/WhatsApp on 07033097160 and let's handle the annual return filings for your registered Business. 1 Like 1 Share

Question: Why is my company registration status showing "Inactive" Yes, the simple reason is that you have not filed your annual returns which is a statutory obligation for every company and not for profit organisations. Once all returns are filed, you are to request the corporate affairs commission for an update to active status. This is key, because for business visas, the embassy is going to verify your status, if inactive, you will be turned back. Also, for contractors and for business partners who want to be sure about your business activity, they will verify your status, if inactive, they may not be willing to deal.

Importance of Annual Returns filings Statutory Requirement: The foundation of this obligation lies in the legal framework, specifically the Companies and Allied Matters Act (CAMA) of 2020. As stipulated in Section 374 of CAMA, every entity registered with the Corporate Affairs Commission (CAC), regardless of whether it’s a business name, a private or public company (limited by shares, guarantee, or unlimited), incorporated trustees, or a partnership, must file annual returns. Complying with this requirement not only ensures that your business or organization is in line with the law but also distinguishes it from the realm of tax returns handled by the Federal Inland Revenue Service. Access to Post-Incorporation Services: Companies that have neglected their annual return filings may find themselves locked out of the range of post-incorporation services provided by the CAC. These services encompass crucial activities such as obtaining Certified True Copies of incorporation documents, modifying share capital, making changes to directors, partners, trustees, or business particulars, and altering registered addresses. Should you have unaddressed annual return filings, you might be required to rectify these first, potentially causing delays in your operational plans. |

When you file your annual returns as of when due, you will have enhanced public confidence. Think about it for a moment. In the world of business transactions and investments, trust is paramount. Both individuals and corporate entities conduct due diligence on organizations they intend to engage with. The absence of filed annual returns can inhibit the Corporate Affairs Commission from providing meaningful information about your company, potentially diminishing the confidence of potential partners or investors. |

Is it mandatory to file CAC Annual Returns even if the company is not operational? Yes. It is still mandatory to file CAC annual returns even if the company is not operational or has not conducted any business activities during the year. The rational behind this requirement is to ensure that the government and regulatory authorities have accurate and up-to-date information about the company’s status, ownership, and management, regardless of its operational activities. Even if the company is not operational, providing updated information about directors, shareholders, and other key details ensures transparency and accountability. Also, if the company becomes operational again in the future, having updated records and compliance with annual returns can make it easier to resume business activities. Let's register your business and file your annual returns today. |
