PROCEDURE
a. Seller issues the Sales and Purchase Contract. Buyer signs and returns the contract to Seller for countersignature. The endorsed contract is then exchanged by Electronic Data Transmission (EDT). The electronically transmitted copy, signed by both parties shall be legally binding and enforceable until hard-copy instruments are executed and exchanged.

b. Buyer gives his vessel/s particulars to Seller including the Charter Party Agreement (CPA) Authority to load (ATL), and Questionnaire 88 (Q88) for effective communication between vessel Captain and Seller or Seller’s Loader/Operators, and for the confirmation of the suitability of the vessel to load freely at the load-port. (If vessel is owned by the Buyer, Seller would require evidence of Vessel Freehold by Buyer. If vessel is chartered, Seller would require Charter payment invoice (as evidence of leasehold on the vessel for the particular period).

c. Buyer pays the sum of N15million naira only in favour of seller for inward clearance to load and seller issues a corporate indemnity to refund buyers clearance fees upon failure to call buyers vessel to platform for loading.

d. Within five (5) banking days of (a.) above, Buyer causes his bank to issue a Documentary Letter of Credit (DLC) to express his intent and commitment to purchase the crude oil cargoes (See Article 7.7 above). The Documentary Letter of Credit (DLC) shall be for the amount of Two Hundred Million (US$200,000,000) United States Dollars and shall be transmitted from Buyer’s bank to Seller’s bank in favour of the Seller via an MT760 swift transmission in the herewith stated text (See Appendix B below). The Buyer shall send a courtesy copy of the successfully transmitted swift to the Seller as file copy.

e. Upon Seller’s receipt and confirmation of Buyer’s Documentary Letter of Credit, Seller pays the statutory Clearance Fees for Inward and Outward Clearance of the vessel and secures her lay can schedule and programming for her loading. Seller shall be responsible for all expenses including but not limited to inspectors’ and Seller’s escort via branded transportation to and fro the loaded vessel for the Q&Q and other incidental expenses including Buyer’s name being reflected on Shell Network Screen for Buyer’s confirmation as the consignee of the Crude Oil.

f. Once the vessel arrives for commencement of loading, the Seller’s Pilot shall board the Buyer’s vessel to guide her to the loading terminal.

g. The vessel is loaded and waits at the customary anchorage near load port for Quality and Quantity ascertainment by Buyer’s and Seller’s mutually agreed Q&Q inspectors appointed by the Buyer. This Quality and Quantity report shall be used in the final computation of the value of the loaded cargo aboard Buyer’s vessel (see 7.7 above) to ascertain the actual amount payable.

h. All relevant shipping documents shall be endorsed by the Vessel Captain, with a copy forwarded to Buyer. The full shipping documents are collected and delivered to Buyer via Buyer’s bank to effect payment. The Payment for the cargo value shall be made via an MT103 or Swift wire transfer to Seller’s nominated bank account and commission is also paid simultaneously to named accounts before vessel departs for destination.
