Every business, private limited company, and trustee organisation in Nigeria is required to file annual returns on a yearly basis. To do so, they must complete the prescribed form, submit it to the Corporate Affairs Commission (CAC), and include the specified information about their organization as required by the Companies and Allied Matters Act (CAMA). Chapter 16 of the CAMA (2020) makes it a statutory prerequisite for every company in Nigeria to file annual returns every year. Each calendar year, returns must be filed (i.e. annually). On the other hand, newly incorporated companies need not file returns for the first 18 months post-incorporation, whereas older companies must submit their annual returns no later than 42 days following their annual general meetings. You can file for a change in Shareholdings and alteration of share capital of your registered entity. Before moving ahead to the process of changing the shareholding pattern, it’s essential to grasp what ‘Shareholding Pattern’ means! The shareholding pattern refers to the distribution of shares among shareholders with certain details such as the number of shares different shareholders own and their corresponding percentage of ownership. It is pivotal information for investors, regulators, and stakeholders to comprehend the ownership structure and its implications on decision-making as well as control within the company. |

One question is if it's necessary to display the RC/BN number in front of your business premise? Yes you are meant to display your RC/BN number in front of your business premises! Many business owners in Nigeria are very eager to register businesses but are not keen on their obligations post incorporation. Failure to address post incorporation obligations would only cripple your business in the long run. One of such obligations is to display your RC/BN number in front of your business premises. The regulatory agency responsible for corporate affairs in Nigeria (Corporate Affairs Commision) has the power to sanction you for failure to display your RC Number. It could be as high as 500,000- 1,000,000 (depending on the size of your company, and how long you have been a defaulter). It does not cost much to be compliant. A stitch in time they say saves nine. Do the needful today. We can help with Company Registration Business name Registration Incorporated Trustees (e.g. NGOs, Churches, Social Clubs and Association, etc.) 07033097160. |

Do you know that it is unlawful for any company whose name has been struck off the register of companies to carry on business unless its name is first restored to the register by an order of the Federal High Court. It added, “The General Public should note further that the striking off of the name of a Company from the Register of Companies is without prejudice to the powers of the Commission to enforce any liability arising under the Act against the directors of the struck off Company.” |
