Since the shares were purchased in your name, i presume that the dividend warrants were also issued in your name and to that extent, i am of the view that you should be able to lodge them in your account.

I am afraid however that you may not be able to sell the shares whose certificate bears your name without the consent of your Dad who signed the purchase form in the first place.

Good thought man and i agree with your posers!!

With the benefit of hind sight, the amendments to BOFIA and CAMA should have been driven through the Senate and House of Representatives by the CBN before the consolidation was allowed to take of. The effects of that omission as we have seen is dire and unfortunate.

My underlying concern is that good procedure (on CBN's part) seem as is usual in Nigeria to have taken a back seat again and regrettably!!

I never had issues with Access MD or DMD being a part of the committee. My attempt was to clarify the over-riding importance of the Board Audit Committee over the other Audit Committees set up by the Company. Its a norm for non-executive directors to chair and indeed dominate the proceedings of the audit committee for objectivity and independence sake.

I reiterate my appeal to condemn willful and intentional contravention of valid laws under any guise. If indeed CBN is at the root of this, i will suggest that other legal alternatives besides engendering contravention of valid laws by Banks be explored. Nigeria's long term interests will certainly be served if this institutional anomaly is rectified with dispatch!

The company howecer also have a board audit committee made up of board members. That is an internal arrangement of Access Bank so nothing strange here.

Many times banks contravenes BOFIA for various reasons! SOmetimes they do it intentionally so will not say that it is always due to control lapses. Each has to be looked at on its own merit. GTB, which purportedly is one of the best in corporate governance do pay fines for non compliance with BOFIA!


Interestingly, in the light of best practice demands, the Board Audit Committee which you seem to under-emphasize as an internal arrangement is (or should be) the most crucial of all the different Audit Committees a company may set up.

On the growing contravention of BOFIA by Banks, i am alarmed at the catastrophic precedent this development lays. I find it difficult to accept that the Federal High Court encouraged the contravention of a Federal Statute (CAMA) by Access Bank. I have not read the judgment but the court yes, could decide that CAMA in the circumstances was not applicable but not that it should be contravened intentionally as the Court is as bound as the banks by a valid and unrepealed law which CAMA is in this case. Please re-confirm details of the Court's pronouncement to the house!!

I am quick to point out that Corporate Governance places the highest premium on the Board Audit Committee over and above that constituted by shareholders alone or with directors.

The fundamental assumption of corporate governance principles is that the hub of a company's activities is conceptualized, initiated and driven at the Board level and hence the emphasis to have a functional, vibrant and independent Audit Committee at the Board level .

On independence, there is no strict rule of corporate governance (and i stand corrected) that stipulates that MDs or DMDs can not be "a part" of the Board audit committee. In most cases, MDs and DMDs are members of Board Audit Committees by attendance and not (in a lot of cases) having the powers to vote as committee members. The established yardstick espoused by Corporate Governance principles and best practices is to have a true balance between the Non Executive Elements in the Audit Committee and the Executive Elements - MDs, DMDs, CFOs, FDs etc (even if in attendance). These equally applies to the Board as well.

However, I must note that a Company may by its articles of association preclude executive directors from becoming members of the Board Audit Committee (someone should be kind enough to guide the house if this is the case with Access Bank). If that is not the case, let us except the issue of their MD and or DMD being part of the Board audit committee. A lot more beyond their mere membership of the Committees should be considered to come to some conclusion as far as corporate governance is concerned.

Fairness to Access Bank as well as those who have invested therein demand that we remain objective in our analysis!!

I am keen to engage a clearing agent for some items i am importing. My only concern however is how one can be sure that one is not dealing with scammers pretending to be clearing agents.

Viperman, having read some of your posts, i know that you have some experience in this regard. Is there a possibility that one can be scammed by agents you meet online? Will i have to part with cash at any point? What are the signs one may look out for?

I ask this question as a matter of general concern to all!

I will like to be guided by the Gurus in the house. I have a container with 3 cars and some furniture and computer wares coming in through Naija Lagos Port from America. The cars all meet the 8 yrs rule.

How will my import duty be assessed and how do i go about clearing the container? Will the furniture and computer wares be assessed too? Do i have to offload in the port? If not, who will be responsible for return of the container - the shipping company?

I am grateful for responses!

For Nigeria, I am aware that Charly Boy currently rides a bad ass power bike;

I am also aware that Ramsah Noah used to ride a Suzuki Hayabusa (until his recent crash)

Also heard that Donald Duke rides a cruiser!!

Please update the house on other celebrities you know who are riders and bike freaks.

I agree with you my brother but i still maintain that you can not be too good or smart for an accident. I have taken pains to discuss with people who have done the craziest things imaginable on a bike and the key is always to be cautious than ever because some other factor you may not be able to control beyond your skills may cause an accident.

Anyways, i can hardly declined any bike related rendevouz.

If you reside in Lagos, there is this guy at the foot of the link bridge between Opebi and Sheraton in Ikeja, heard he has some good looking, imported but used bikes. I hope they are not overpriced.

I currently have a Kawasaki ZXR 750 2000 model and i will like to upgrade to a 1000 Kawasaki ZXR. A later model preferably.

I understand one can get better bikes in Ghana and Togo. What do you think?

That is a bad ass bike!! My issue with Ducati is the cost of maintenance and availability of spare parts. I understand Yamahas and Suzukis are better in this regard.

Interestingly, i taught myself how to ride. My first bike was a Honda CB500 - lovely and quite heavy bike!

On the mechanic bit of the experience, it has been unpleasant. I will suggest that any biker get as much technical knowledge of how a bike functions as possible (i.e changing tires, spark plugs, your fuse system and other basic functions). These will help immensely. Most of the mechanics except a few are unbelievably daft except a few. And if your bike gets damaged, you will still have to bear the brunt not them. I currently use (with a lot of supervision) a guy called small at the Iponri end of western avenue. His cost also seem reasonable.

One question i will like to ask is how you have maintained the plastic body of your bike. Since it appears that bikes are bound to drop at one point or the other. My painter i hope does not pray that i crash, because it's always good business for him. Imagine crashing a 2007 model bike (you will almost have to import the entire coating again).I am actually considering a road bike for in town runs to circumvent this problem (am told the Yamaha Vmax - 1200cc is bad!!). I will then use my sport bike for inter state travels! But i love the Ducati in your post because it has little or no plastic coating.

Fundamental analysis of stocks could either be quantitative (in which case you work the figures) or qualitative (value based).

Investment experts are polarised on which of these is the best. Both works actually in different scenarios but the common ground appears to be a balanced use of both.

I do more of qualitative analysis and it has always worked for me hence the lack of figures or measurable values in my earlier write up.

You may be quantitative type, just fashion out whichever works for you and make money!.
