Church, Mosques, Club, Associations, Ministry, Foundations or NGO falls into the category known as Incorporated Trustees by C.A.C So the procedure and requirements is the same for them all.

Should in case you are running any of the above organisation and you are thinking about registering it with the Corporate Affairs Commission, C.A.C then this write up is for you.

First and foremost, you need 3 proposed names for your organisation.

You need minimum of 2 people who will act as the Trustees of the organisation, one person will be chairman and one as the Secretary. All the trustees must have valid ID card, they must not be minors.

The 3 proposed names will be submitted for search and reservation to be sure nobody is using the proposed name currently.

Once the name is Approved, the next step would be to publish the name of the Organisation and the Trustees on 2 national newspapers for a period of 28 days notifying the public about the proposed registration.

After the expiration of the 28 days notice period, you can now proceed with the registration process.

The registration process takes about 1 month and 2 weeks because of the notice period.

From Name Reservation, newspaper publication, Constitution drafting, minutes drafting, drafting of minutes of meeting and registration proper NGO registration is tedious and need the service of an expert.

For NGO registration, I charge the sum of 140,000

If it is Active it means your business Annual Returns is up to date, and if INACTIVE it means you have not been filing your Annual Returns with CAC.
A lot of business owners, after successful registration of their businesses with CAC, they proceed to the bank with the Certificate of registration and other documents to open a corporate account and after then say goodbye to CAC, they proceed to run their businesses.
Some only go to C.A.C when they need to make some changes on their businesses details like e.g change of address, change of Proprietors details, change of directors and so on.

This has led to the Corporate Affairs Commission listing out about 100,000 business and Organisations to be deleted from their data base in the next 90 days, while other non compliant companies have been deactivated and currently showing INACTIVE on the C.A.C portal. INACTIVE Companies risk losing business transactions and contracts as a search conducted by prospective clients on their business will reveal the business as being INACTIVE, they also risk visa denials upon application. When a business remains INACTIVE with C.A.C for too long they will be listed among the defaulters list and risk being permanently deleted from the C.A.C database for non compliance.
Deleted Companies and businesses risk losing their businesses, investments, money in bank and properties in the business name as the company will cease to exist.

AFTER BUSINESS REGISTRATION WHAT NEXT?

C.A.C expects you to file annual Returns every year. Annual Returns is a payment and written statement made to update the commission that your business is still functional.


Since Annual Returns can only be filed using accredited agent portal, you will need to contact a C.A.C accredited agent to do the filing for you and he will charge a token to do so.
Annual Returns for a particular year must be filed on or before 30th June the following year as failure to do so will attract an additional penalty of 5K per year.


In my experience as a C.A.C agent, I have witnessed a lot of business owners abandon their businesses as a result of accumulated annual returns fees and penalties. Some business owners always opt for a fresh registration for the cost of 21,000 instead of paying Returns of over 100,000 but the disadvantage of that is losing the brand that you have built for years and have been widely known for.
So my candid advice for your dear business owner, is that you always file your annual returns as at when due and you will never lose your business, investment or property.

If you are a company Director, Proprietor or have a registered organisation with the Corporate Affairs Commission, CAC, then don’t joke with this information.

The CAC have warned that from 1st January, 2024, the full penalty will be mete out on company directors and business owners who have failed to comply with the requirement of the Company and Allied Matters Act, CAMA.
You can go to CAC or google to verify this information. If
This means that if your company is showing INACTIVE, you have not filed ur annual Returns up to date, Some companies have never filed, since they registered with CAC they just told CAC goodbye.

You risk having your business name deleted from CAC database from JAN 1ST 2024 If you fail to file your annual returns

THE IMPLICATION OF THAT IS

1.The business might loose some businesses when potential clients search his company and realize it's INACTIVE
2. Visa Applications May be turned down if he uses the business documents of an INACTIVE businesse to apply.
3. INACTIVE businesses risk being delisted from CAC record. CAC warns that they will start deleting business from January, 2024.
4. Delisted businesses will loose investments, properties and money in bank because they will not be able to lay claim on such asset as the business will cease to exist.

HOW TO START A COMPANY IN NIGERIA
Setting up a company in Nigeria involves several steps, some of which include:

2. Choose a Business Name: Choose a unique name for your company and ensure that it's not already in use by another business.
3. Register your company with the Corporate Affairs Commission (CAC), which is the government agency responsible for regulating business registration in Nigeria. You will need to provide your business name, business structure, and other required information.
4. Obtain a Tax Identification Number (TIN): Register for a Tax Identification Number (TIN) with the Federal Inland Revenue Service (FIRS) to obtain a tax identification number. Register for Value Added Tax (VAT): Register for Value Added Tax (VAT) with the Federal Inland Revenue Service (FIRS) if your business meets the minimum requirement for VAT registration.

You cannot reactivate your business name on CAC Portal yourself as the process involves filing your business Annual Returns which can only be done by a CAC accredited agents using agent dashboard.

Upon filing the Annual Returns, the agent will obtain letters of acknowledgment from CAC which he will now use to apply for reactivation of your business name.

To know the amount your are to pay start counting from 12 months after your registration or 18 months after your registration if its a LTD Company.

Cost of Annual Returns for Business name is 3K per year if current and 8K per year if late. (5K penalty has been applied)
Cost of Annual Returns for LTD Company is 5K per year if current and 10k per year if late (5K penalty has been applied)
The agent filing it for you will charge a token too

A lot of business Names are showing INACTIVE on the CAC website because a lot of business owners feel that after CAC registration that they do not have any business with CAC anymore whereas after registration they are supposed to be fling annual Returns to CAC every year.

Failure to file Annual Returns as at when due, CAC will put your business as INACTIVE in their records. The danger of this is that when you use the CAC documents for Visa Application, it will be denied, you will loose business contracts as a search of your company on CAC will reveal that your business is INACTIVE. If your business remains INACTIVE for a long time, CAC will delete it permanently from their register.

WHAT TO DO TO REACTIVATE YOUR BUSINESS BACK

1. File your Annual Returns that are due (A CAC agent will check and calculate what is due.) and then file the Annual Returns for you as only an accredited agent can file Annual Returns.

2. Upon filing the Annual Returns, a letter of acknowledgment will be issued by CAC for each year. With those letters, Your agent will apply to CAC for the reactivation of your business name.
