Not at all. The whole idea behind the share capital of a company evolves around the actually value of a Limited company at any point in time.

According to CAMA, the minimum share capital of a a Private Limited Company is actually N10,000. That’s the minimum value or amount that could get a normal or average private Limited company to startup in 1991, when the CAMA Act was enacted. It might interest you to know that the minimum share capital of a private limited company is still N10,000 according to statutes or by law (CAMA) but because of some economic indices like standard of living, purchasing power, inflation etc. The Nigerian citizens created or pegged their own minimum share capital at N1,000,000 now, whereas in CAMA the minimum share capital for a private limited company is still N10,000.

The minimum share Capital is a term in my own opinion, is the minimum value or amount that the owners (shareholders) of the company can invest in a company to make it commence operation. This is the minimum amount that will cover operational or overhead expenses and assets to make a normal or average company kick start. That is, having in mind the cost of company registration, the office space, the furniture & fittings, PPE, Secretary salary etc. the minimum share capital of a company must be able to cover all this expenses at least for the company to start something.

Except in few circumstances or industries, like banking, aviation, maritime, travels and tours or other highly regulated industries. The share capital of a company may not be fully PAID UP by the shareholders of a company at the beginning. What this means is that, I might choose to register my company with a share capital of N300 million but just have N20 million in liquidity. I can be called to pay up at any point in time by the company, either myself as a director or assigned directors (if the shareholders aren’t the same people acting as directors). The bottom line is that whatever share capital the company is subscribing to, it must have the capacity to overtime generate the actual liquidity of it to fund the operations of the company businesses, it may not be immediate but it can’t be called or paid up as the company operations expand.

Therefore, if a company subscribe to N1,000,000 share Capital, it does not really mean the owners of the company must have the fully money or CAC will be monitoring your bank statement, what it means is that the owners of the company have valued their company’s capital to be N1,000,000 and it can be paid or release in batches.

In conclusion, you do not need to have N1,000,000 in cash at hand or bank to registered a N1,000,000 share capital company instead all you need is to know that you have valued the capital needed to run or operate the company to be N1,000,000 and you will need to keep financing the company with the value in mind. Most a time, the shareholders of the N1,000,000 even get to spend more than N1,000,000 to startup or commence operations for the company businesses.

Though there are exceptions but for a private limited company with a share capital of N1,000,000 you do not need the N1,000,000 in liquidity immediately.

Someone should help me understand. My diamond bank shares has been converted to access bank shares with 2/7 but I don't know how the #1 cash will come in or how will I get the #1 portion of the sales , will it be credited to my internal statement @my stock broking house or how?!

So you want to open a business and you know nothing of how to get started, well NO WORRIES.
You do not need to find a lawyer, a chartered Accountant or an agent. All you need is an ATM Master Card and an internet connection. The Corporate Affairs Commission (CAC) now has an on line portal that makes life easy for all potential entrepreneurs and Businessmen in Nigeria.


To register A company the first step is to

STEP 1: Search for availability of Name - Visit http://services.cac.gov.ng/ sign up as a new customer and provide all necessary details accurately. Once you are properly signed in click on 'Name availability Search' type in two names that are creative and uncommon as your proposed business name and try to avoid cliché names. Fill the form with your best Email address and Phone number and submit the form when done. The submission of the form would costs N500 and can be paid using you master card, visa card, verve card, on line banking etc.
The name search would take one to two working days to be approved or disapproved or declined. If disapproved try again With a different and more unique name but if declined you will need to start all over again.


STEP 2: Register the Business name - Once your name has been approved the next step is to register the business name. Log in to your account with CAC and once logged in click on 'action' and download the the letter of approval from the CAC portal, open it and take note of the approval number.
Go back to the website, Click on 'Registration' on the top left of the webpage select business name and paste the number from the approval document on the space provided click on enter. Ensure you know the nature of the business, proprietors of the business and all other relevant information accurately. NOTE: You can 'save and exit' the form at any point where you have difficulties.

Fill the form Accurately avoid Mistakes as a Correction would cost you more money and waste your Time.
Now one important thing is[i] When asked if you need additional copies of Certified true copy and documents, select Zero as this is applicable to only those who are registering a limited liability company.[/i]

Submit the form and Pay N5,000 for the business name using your ATM card. You would be given a form to submit to the CAC office in your selection.

STEP 3: Physical Submission - Download and print and make two photocopies of
- All receipt of payment from Remitta and CAC,
- The approval of business name document
- The form you received upon payment for business name
Take these documents with two passport Photographs, submit for filing with CAC.


Finally your business name certificate will be given to you and you signed out successfully.

For me I think it depends on the valuation adopted by the investor and if Otedola agrees to the price that will be offered. Who knows #50 may not be too big for the investing company but one thing is certain, Otedola can not sell at a discount or per in fact no body does that
