chimex38: The confusion between the price before the Annual General Meeting (AGM) and the price before the announcement of delisting often arises due to a misunderstanding of key events in a company’s lifecycle. Here are some reasons for this confusion: 1. Timing of Key Events In many cases, companies make important announcements during or shortly after AGMs, such as mergers, restructuring plans, or even delisting intentions. This can lead some shareholders to believe that the share price just before the AGM is relevant for determining the exit price, especially if the delisting is announced shortly afterward. However, AGM announcements and delisting announcements are distinct events, and the rules specifically require using the price before the delisting announcement, not the AGM. 2. Misinterpretation of Company Motions During an AGM, a company may propose a motion for voluntary delisting, but this is often just the first step. The actual delisting announcement may come later, once approvals from the stock exchange and regulatory bodies are secured. People might confuse the proposal made at the AGM with the formal announcement of delisting, leading them to mistakenly focus on the share price before the AGM, instead of the share price at the time of the delisting announcement. 3. AGMs Often Signal Major Changes AGMs are critical moments where companies disclose significant financial and strategic plans, including dividends, board changes, or potential delisting. Since shareholders associate AGMs with these key decisions, they might incorrectly assume that the share price before the AGM is more relevant, especially if the delisting is hinted at during this period. 4. Market Reactions Around AGMs Share prices often experience volatility around AGMs due to speculation about potential announcements. Shareholders might focus on the price leading up to the AGM, thinking it reflects the company’s latest position. However, the rules clearly specify that it’s the average price over the last 6 months before the official delisting announcement, not before the AGM, that is used to determine the buyback price. 5. Lack of Clarity in Communication In some cases, companies may not clearly distinguish between AGM decisions and subsequent actions, like delisting. If shareholders are not well-informed about the delisting process and the specific rules governing exit pricing, they might assume the AGM-related share price is the reference point. In summary, the confusion arises because the AGM is often seen as a turning point for major corporate decisions, but the share price before the AGM is not the relevant figure. Instead, the average price over the last six months before the formal delisting announcement is the correct benchmark according to the NSE rules. Clear communication from the company and a proper understanding of the delisting process can help avoid these misunderstandings. 2 Likes 2 Shares |

GeeKudi: Iets say FMN are within their legal right to pay ₦70, but if the minority shareholders can prove that majority of them have held on to the stock for more than 2 years or more without commensurate return on investment. They could make a case to reject the offer at the AGM and force a higher payout price.. Just my opinion to support the cause |

chimex38:I don't understand the French. The average market price within 6 months and highest market price within 6 months can not be the same Which is used for the calculation |
Re: Nigerian Stock Exchange Market Pick Alerts by chimex38: 9:10pm On Sep 26 |
Streetinvestor2: Highest Price within the Last 6months before notice of EGM.✔️ It's likely going to be ₦70, no matter the push in price beyond that. Notice of EGM has been published. unless a change at the EGM itself. 1st image is Arbico Plc that delisted earlier this year. 2nd image is MRS that is about to delist. https://nairametrics.com/2024/06/28/shareholders-approve-mrs-oil-nigeria-plcs-quest-to-delist-from-ngx/

bovali: Good Insight esp in No2. But @the boldeds seem not so correct I suppose. buyback na same as buyout.. as used here..(make i no confuse) Also i found out for delisting, its the Highest Price not Average price over 6months prior to notice of EGM. Weldone...all the same👍👏 |

GeeKudi: *Crude production was not 5kbpd it was 20kbpd but if they can achieve 50kbpd it would still be outstanding. *Late 2025 is too early for dividend payment. Even though they might be back to profitability, sound management requires that they clear their negative retained earnings before they commence dividend payments. I reckon it will take a bit longer to build up reserves and significantly reduce debts before management can consider dividend repayments. Ideally, that should be their priority. I strongly believe the market will prioritise a continuous recovery in finances over dividend payments in the short term. All in my opinion. I could be wrong. 3 Likes |

SonofElElyonRet: Question - Is it correct to assume your broker trades on your behalf? Lost count of the number of times you have said " I told my broker to buy......" Is there a reason why you don't do the buying and selling yourself? At least through a trading platform? Harmless question o. Just wondering. |

ice234: Register with a broker dealing with NASD and they will open an account for you. They opened one for me 2 weeks ago |
Re: Nigerian Stock Exchange Market Pick Alerts by chimex38: 6:41am On Sep 27 |
ice234:I have no much knowledge on rules of trade there. But the most i know is you need to open another NASD-OTC account with a licenced broker to trade if you want to. Not all NGX stockbrokers are licence to trade on NASD-OTC. but most are, especially the more popular traditional ones.. Also, some of their stocks are illiquid to trade due to low visibility.. Hence suits long term investors more than traders. Most i know.. 2 Likes |

I understand you fully my brother. Because some people did not take a position in a rising stock they speak bad about the stock, make those holding the stock to dump. This is not right. I have learnt to ignore them and hold on to my stance. I am happy you recovered. SonofElElyonRet: 3 Likes |
