In the world of Intellectual Properties (IP), Copyright is one of the most talked about intellectual property rights. It is bestowed on authors for the creativity shown in their works. Copyright applies to literary works, artistic works, audiovisuals etc.

The new Nigerian Copyright Act was signed into law by the President on Friday, March 17, 2022. The Copyright Act 2022 has therefore repealed the one from 2004.

The statement by Hon. Nasiru Baballe Ila reads:
“Copyright Act 2022, this Act repeals the Copyright Act, Cap C28, Laws of the Federation of Nigeria, 2004 and enact the Copyright Act 2022 to provide for the regulation, protection and administration of copyright. The enactment of the new Copyright Act has again demonstrated the commitment of this administration to re-energizing Nigeria’s creative economy and making it more globally competitive in the digital age.

“The principal objectives of the new law, as outlined in section 1 are to: protect the rights of authors and ensure just rewards and recognition for their intellectual efforts; provide appropriate limitations and exceptions to guarantee access to creative works; facilitate Nigeria’s compliance with obligations arising from relevant international copyright treaties and conventions; and enhance the capacity of the Nigerian Copyright Commission for effective regulation, administration, and enforcement ... "

Prerogative of mercy refers to the power of a president (or governor) to grant pardons, whether conditional or total, to persons who have been convicted of crimes. In other words, the executive is inferably granted the power to upset the judgment of the judiciary – or the execution of it, irrespective of how well the judgment was reached or the gravity of the crime committed. From jail terms to the capital punishment, none is left an exception to the pardoning powers of the president or the governor.

Statistically, about 301 convicted offenders in Nigeria have been pardoned by the federal government since the begin of the forth republic, with the highest number of 208 pardoned in the incumbent (President Buhari’s) administration. These statistics were gathered and published by Dataphte on May 6, 2022.

Have you ever written a book? Or a song? Or come up with an invention? You have intangible properties known as Intellectual Property rights.

Intellectual Property rights protect the sanctity of things created by your mind by forestalling and restraining unauthorized exercises. Such unauthorized use, if and when they occur, are called infringements.

Securing your intellectual property is very important for your business.

Let’s consider the registration procedure for some intellectual properties.


Copyright Registration in Nigeria

Copyright is one of the commonest intellectual properties. As a vast IP, it can even overlap with others in certain instances.

In Nigeria, copyright is statutorily regulated by the provisions of the Nigerian Copyright Act of 1988.

Registration of copyright is not required by the Act. In other words, eligible works are automatically copyrighted without any form of official registration. However, the NCC has a database for owners of copyrights to register them with the commission. This would suffice as a good tool for proving ownership.

Trademark Registration in Nigeria

A trademark protects against confusion in the identification of products. It is a word, sign, symbol, logo, device, slogan etc. capable of distinguishing the goods or services of an enterprise from the other.

In registering a trademark in Nigeria, the involvement of a lawyer or an accredited agent is well advised. There are possible issues in the registration that requires specific know-how.

Processes involved in registering a trademark in Nigeria include:

1. Searching for the availability of the trademark.
2. Applying for the trademark.
3. A notice of Acknowledgment from the Registry.
4. A notice of Acceptance from the Registry.
5. Publication of the Trade Marks Journal.
6. (Possible objection(s) to the Certification of a Trademark.)
7. Issuance of Certificate of Registration.

An application may be denied by the registry if the word or sign conflicts with an existing one.

Registering a trademark in Nigeria may take around 18-25 months, given there are no objections to or actions arising from objections to the registration. And depending on the professional fee charged by your agent, registration may cost about 100,000 – 200,000 naira.

Registration of Patent in Nigeria

Do you have an inventive idea? A patent is an intellectual property that grants exclusive rights with regard to an invention.

Like trademarks, registering an invention for patent in Nigeria is pretty straightforward. For ease of process, engaging your legal practitioner or agent is well advised. Section 3 (1) of the PDA specifies the information to be provided in a Patent application.

Notably, Section 3 (3) provides that an application can only be made for one invention. Although may include claims for many products or processes in connection with such invention.

The registrar is saddled with the responsibility of examining every patent application. He may also reject an application that has failed to comply with prescribed procedure.

PATENT IN NIGERIA

A patent is an intellectual property that grants exclusive rights with regard to an invention.

All over the world, it is common knowledge that security is at the heart of human desires. A major benefit of intellectual property rights is the guarantee of economic security for human creativity. I would say, ‘Creativity is the soul of innovation, and innovation is the soul of entrepreneurship.’

Patent, like other IPs, protects the patented product or process from possible unauthorised reproduction, use, sale etc. Thus, granting exclusive rights to deal with the invention for a fixed period of time to the patentee.

The Corporate Affairs Commission (CAC) is an independent body. It is saddled with responsibility of company incorporation, registration of business names, NGOs etc.

Getting a registration done with the Commission is not difficult. Although, the assistance of a lawyer is advised. For example, below is a short guide to getting your company incorporated.

Company Incorporation

The initial step to company registration is getting the name of your company registered with the corporate affairs commission. The commission will help you check if the name is available. Submission of two names for your business is advised, just in case one has already been taken, the other will be available.

Next is the preparation of the Memorandum of Association. The involvement of a legal practitioner will be of great help. He/she is the best qualified person that can help in preparing your MOA (Memorandum Of Association) and other necessary documents.

Thereafter, there is a form you are required to fill by the CAC. In this form, you will mention all important details about your company and submit it again to the commission.

Also, before an applicant can get his/her Memorandum and Articles of Association with some of the incorporation forms stamped, he must make payment through a designated bank into the Federal Inland Revenue Services.

Lastly, prepare the scanned copy of your documents. These documents may include: Form CAC1.1,
MAA (Memorandum and Articles of Association), Identification forms of subscriber(s)/Director(s) and shareholder(s) recognized by CAC, Evidence of payments made to the corporate affairs commission.

Note that ...

Section 84(12) of the Electoral Act 2022 prohibits political appointees from being voting delegates, or be voted for, as to be notiminated as candidate in any election at a convention or congress of any political party.

It states, "No political appointee at any level shall be a voting delegate or be voted for at the Convention of Congress of any political party for the purpose of the nomination of candidates for any election."

Therefore, this section disenfranchised political appointees in this respect. However, it is argued that this violates the provisions of the Constitution of the Federal Republic of Nigeria 1999 (as amended).

Section 42 of the Constitution guarantees freedom from discrimination. Moreover, Section 77 of the constitution guarantees the Freedom of a Nigerian citizen, residing in Nigeria, who is more than 18 years, to be elected into a legislative house. See also, section 7(4) of the Constitution.

Notably, section 66 (1)(f) of the 1999 Constitutions provides that a person serving in a public service can be disqualified from election if he doesn't resign thirty days before the election into the National Assembly.


So, constitutionally speaking, the law may not hold water. But we must also be progressive in democracy, shouldn't we?

An unregulated banking system is undesirable and prepared for failure. This is clear from history all over the world, and particularly that of Nigeria. One of the perceived reasons for the failure of most of the over 170 banks established between 1929 and 1952 in Nigeria was the absence of a defined banking ordinance to state a ‘code of conduct’ for the banking system.

Therefore, starting with the Banking Ordinance of 1952, which had its roots in the recommendations of the G.D. Paton commission set up after the failure of the Penny Bank in 1946, unto the two main statutes that run the system today, the Nigerian banking system has survived over the years on the shoulders of relevant ordinance, decrees, and acts.

What kind of institution exactly should we regard as a bank? In Wema Bank v. Osilaru , Per Alfred Pearson Eyewumi Awala, JCA reportedly said on the meaning and nature of a bank, “A Bank, on the other hand, is defined by the learned authors of Black's Law Dictionary 8th Edition reads: ‘A Bank is a quasi public institution, for the custody and loan of money, the exchange and transmission of the same by means of bills and drafts and issuance of its own promissory notes (cheques) payable to bearer, as currency, or for the exercise of one or more of these functions, not always necessarily chartered but sometimes so, created to serve the public ends. It is a financial institution regulated by law. A bank is wholly the creation of statute to do business (for profit) by Legislative grace and the right to carry on a banking business through the agency of a corporation is a franchise which is depended on a grant of corporate powers by the state.’ …”

Also in Associted Discount House Ltd. Almagamated Trustees Ltd. the court held that the word “bank” is not defined in the Nigerian constitution, nor in the Interpretation Act. But in the grammatical meaning, it connotes an organization that provides financial services.

As earlier mentioned, the banking system is regulated by two principal statutes, namely, the Central Bank of Nigeria (Establishment) Act, and the Banks and Other Financial Institutions Act (BOFIA).

Additionally, the entire financial system of the country is governed by regulatory institutions responsible for its growth and development. They operate based on their enacted regulatory documents and ensure compliance with the laid down rules and regulations of the financial system, of which the banking system is key.

These regulatory institutions include the Central Bank of Nigeria (CBN), Nigeria Deposit Insurance Corporation (NDIC), Securities and Exchange Commission (SEC), Federal Ministry of Finance (FMF), Federal Mortgage Bank of Nigeria (FMBN) and the Assets Management Corperation of Nigeria (AMCON).

Of these institutions, and specifically as stated by their respectively operative acts, the Central bank of Nigeria oversees the birth and growth of banking institutions, while the Nigeria Deposit Insurance Corporation (NDIC) help to stabilize a failing bank, as well as serve as its liquidator if it fails.

The Central Bank of Nigeria (CBN)
The central bank of Nigeria acts as the apex regulatory institution of the financial system in the country. This institution is well equipped to perform its functions by the Central Bank of Nigeria (Establishment) Act 2007 (CBN ACT), and the BOFIA, 2020.

The CBN ACT affirms the establishment of a body known as the Central Bank of Nigeria. The act also states the fundamental objects of the bank, which include the sole power to issue notes and coins , maintain external reserve for Nigeria , and generally supervise the entire banking system in Nigeria.

As part of the 13 point Soludo reforms program for Nigerian banks, banks are required to have a base capital of #25billion with the central bank.

The BOFIA empowers the Governor of the CBN to issue a license to anyone wanting to start a banking business in Nigeria, with specific procedures. The act prohibits anyone from operating a banking business in Nigeria without such license. This provision has been given judicial standing in the case of Guardian Express Bank Plc v. Odukwu & Anor.

Moreover, the BOFIA provides that no bank shall engage in a change of the control of the bank, transfer of a significant shareholding, merger, restructuring, re-organization, sale, disposal or transfer of any part or the bank as a whole (See Section 7, BOFIA 2020).

Additionally, Section 30 empowers the governor of the CBN to issue regulations, guidelines and policies to banks, specialized banks, and other financial institutions in Nigeria. And to appoint officers to supervise and examine these institutions according to the dictates of the governor.

The Act also empowers the CBN to revoke the license of any bank for stipulated reasons.

Finally, the BOFIA empowers the central bank to assume control over a failing bank, in liaison with the Nigeria Deposit Insurance Corporation (NDIC)


Nigeria Deposit Insurance Corporation (NDIC)
The Nigeria Deposit Insurance Corporation was established on 15th June 1988 , following the recommendation of the former governor of the Central Bank of Nigeria.

The establishment of the Nigeria Deposit Insurance Corporation was necessitated by the collapse of some banks in Nigeria. It became pertinent to protect depositors in order to strengthen the confidence of the public in the banking sector. At present, the activities of the NDIC is regulated by the Nigerian Deposit Insurance Corporation Act, 2006 .

The NDIC is statutorily saddled with the responsibility of insuring deposit liabilities of licensed banks and other deposit-taking financial institutions, granting relevant assistance to insured institutions for financial stability, guaranteeing payment of appropriate deposit to depositors of insured institutions, and such other actions necessary to carry out its objective.

The NDIC ACT, 2006, requires all licensed banks and other deposit-taking financial institution in the country to insure their deposits liabilities with the corporation. The corporation is further empowered to create a separate Deposit Insurance Fund (DIF) for each category of insured institutions.

The Act also empowers the corporations to receive required information from insured institutions. An insured institution is obliged to render a monthly detailed report of its returns of frauds, forgeries or outright theft occurring within that month. Insured institutions are also obliged to notify the corporation of any of their staff dismissed terminated, advised to retire or resign on account of a fraudulent practice. And any insured institution may not recruit such an individual without first notifying the corporation.

Any failure by a deposit-taking financial institution to insure its deposits, or to render required information to the corporation constitutes an offense under the act, and attract stipulated penalties.

According to Section 37 of the Act. The corporation may give financial assistance to a failing insured institution at the request of such institution or under certain conditions.

Moreover, in the event of a failing insured institution, NDIC may establish bridge banks to assume the deposits and/or liabilities, and purchase the assets of such failing institution. An example of such bridge bank is the keystone Bank Ltd., which took over Bank PHP.

Ultimately, whenever the license of an insured institution is revoked by the Central Bank, the corporation shall act as the liquidator of such failed financial institution.

Following the failure of an insured institution, the corporation is empowered to notify depositors of such institution to forward their claim to the corporation. This notification can be done through advertisements on national newspapers or other news media.

In nut shell, the NDIC is so empowered, not only to be relevant in the stabilization of existing financial institutions, but also to midwife an insured institution at its dying/death, and burial/ post burial stages.

In conclusion, extant provisions declare the functions of the Central Bank of Nigeria as overseeing the birth, growth and development of banking, and even non-banking financial institutions, while the Nigeria Deposit Insurance Corporation takes care of the operations of such institutions through their existing, dying and post burial stages – both regulatory corporations working to sustain and increase public confidence in the banking sector.

You must have noticed that the status of a man determines the trust you put in him and his word. Consider this; if a wealthy man in your neighbourhood meets you someday and promises that he would give you a million naira the following week_ you would not only believe him, but you would even start thanking him in advance. But what if a poor man that has often depended on you for food promises you the same amount? Won’t you laugh so widely before you know he could get hurt?

So is God with his word. God is greater than the greatest man in the world today; the accumulation of the wealth of all the richest men in the world today means less than a penny to God. He is all powerful, all sufficient.

2 peter 3:5_ “For this they willingly are ignorant of, that by the word of God the heavens were of old, and the earth standing out of the water and in the water.”

What God can do, his word can do. The book of John chapter 1 tells us of the existence of God and His word, confirming His word is everything and He. So, no matter the situation you are or the hardship you are experiencing today_ I beat my chest that His word is more than able to settle things for you.

God created all things through His word. Hebrews 11:3_ “Through faith we understand that the worlds were framed by the word of God...” It is crystal clear that everything we see and admire in the world today was created by God’s word. If his word could create the whole universe, it can change your life and transform situations for you. His word is inerrant, infallible and unchangeable.

Certain Deeds of His Word

1. His word reveals our Salvation_ 1 Peter 1:10-11. Since ages past, the Prophets of God has, through the Holy Spirit, prophesied of the salvation that was to come through Jesus Christ. Moreover, everything done by Jesus to save us is written in the word of God.

2. His word saved us_ 1 Peter 1:23_ “Being born again, not of corruptible seed, but of incorruptible, by the word of God, which liveth and abideth for ever.” KJV.

3. His word sanctifies: John 15:3, 17:17. The word of God is all we need to be made clean. The truth we get from the word of God, helps us to live a life of sanctification and consecration.

4. We are kept by the word. Revelation 3:10. Jesus promised the church of Philadelphia that since they have kept His word with patience, he would also keep them from the hour of temptation.

5. His word gives us hope: Col 1:27_ “To whom God would make known what is the riches of the glory of this mystery among the Gentile; which is Christ in you, the hope of Glory.

6. His word guides our feet_ Psalms 199:105_ “Thy word is a lamp unto my feet, and a light unto my path.”

7. His word is Healing. Psalm 107: 20a_ “He sent His word, and healed them....”

8. His word is Deliverance: Psalm 107:20b_ “... and delivered them from their destructions.”

9. His word gives success: God promised Joshua success if he would keep His word. It doesn’t matter if you are brilliant or the greatest of all dummies, if you would give his word a place in your life, you will have victory.

10. His word gives Prosperity¬_ Psalm 1:1-3. There is true prosperity in the word of God.

11. His word gives Peace: You should remember the story of Jesus and His disciples when they were in the midst of the sea. Jesus stood up, pronounced his word, and it was all over.

What is your attitude to the word of God?
I want you to have a positive attitude to the word of God. Put your whole faith in the word of God. It was true Peter and his mates, professional fishermen, had worked all night, getting nothing. But as he, peter, harkened to the words of Jesus, they caught many fish.

• Reference the word_ we fail to give reference to the word of God because we do not know the value of it. Because you have so many Bibles does not mean you should fill one with phone numbers. Stop jesting with the word of God, it isn’t funny.

• Read, meditate and confess the word of God_ Joshua 1:8

• Promptly obey the word: Some of us love to argue with the word of God. If something is stated in the word of God, you don’t need to find another evidence to prove it. The word of God is to believe, not to rationalise.

In conclusion_ Revelation 19:13 “And he was clothed with a venture dipped in blood: and his name is called The Word of GOD.” Going forward, I want you to put all your faith in the word of God, everything you need is just therein. Your success is therein, your prosperity is therein, your fruitfulness is therein, your healing is therein, your liberation is therein, your salvation is therein... mention it? It is all therein.

Why don’t you promise God now that you will always abide by his word? Why don’t you receive grace to do so? Tell him you're sorry about your past ignorance. I know He is surely ready to help you and teach you the right way to treat His word.
