Offer: Purchase of up to 79,301,976 ordinary shares of Honeywell Flour Plc (HFM) @ N4.20 by Ecowise Inv Ltd and Greywise Inv Ltd on behalf of Flour Mills Plc. (FMN)

Offeror’s existing shareholding in Honeywell:
Ecowise and Greywise hold an aggregate of 6,086,381,574 Ordinary Shares - on behalf of Flour Mills, representing 76.75% of the total issued and paid-up share capital of Honeywell; Ecowise holding 400,967,024 Ordinary Shares (5.06%), while Greywise holds 5,685,414,550 Ordinary Shares (71.69%)

Purpose of the Offer: To enable Ecowise and Greywise comply with the Take-Over obligations under Part XII of the ISA and Rules 445 - 448 of the SEC Rules and Regulations. (as amended)

Qualification date (QD): 5 pm WAT August 4, 2022.

Opening date: 8 am WAT August 5, 2022.
Closing date: 5 pm WAT August 26, 2022.

FMN sent notification to NGX on 29th July while the letter issued by Honeywell to confirm the MTO was dated 11th August........so how could the closing date have been 4th Aug
Just needed more clarification on this.

@slimdove , the thing is that they may end up taking a smaller fraction of whatever units you tendered, depending on their qualified investors criteria.......because a lot of tender may be received.

*** If you have Honeywell shares and want to sell it to Flour Mills @N4.20, fill the MTO Form sent to you by Morgan, scan and send back to them before offer closes on 26th August, 2022 ............that's the summary of it.
Also:
* Pls understand that Flour Mills thru Ecowise and Greywise is picking just 1% from general


shareholders for now......
* It's in fulfilment of a bulk purchase rule.......because they already acquired over 76% already....including the 5.06% from FBNH.
* This 1% representing 79.3Million units will be pro-rated if they receive more tenders than the 79.3M from general investors......which may turn out to be insignificant quantities to pick from each investor....
* All these details have been posted here before now.......
** The main one that may eventually benefit the remaining shareholders will be a merger of Honeywell and FMN flour biz or total acquisition..........this aspect is totally in the hands of FMN whichever way they later decided to do it.
