Its to capitalize unissued shares to increase OS (Outstanding Shares) and working Capital.

I've discussed extensively about VFDGROUP here in the past together with one or two Nsempas that contributed that time.

1. Total outstanding shares (OS) presently is 253,369,820 (in millions)
2. There's now a plan to increase this to N1.263bn+ by capitalizing unissued shares worth N506M to ordinary shares of 50k each
3. If you divide this sum by 50k nominal value, you'll get the number of bonus shares arrived at......for distribution to shareholders.
4. IN SUMMARY: VFD is distributing 1,013,479,280 unissued shares to shareholders who owns 253,369,920 existing shares........
** This brings it to 4 new shares for every existing one held........AND, the new shares will rank in pari passu with existing shares.

** Quite a number of Companies issued bonus in 2022 FYE as well......so nothing new here...... Except that VFD's bonus is so juicy. If you still have it, then HOLD!
** Qualification Date is 14th June, 2024
** Hope I answered you in my own little way.

Thanks for your write up. I bought some... can you enlighten me on how the Price mark down for the 4 for 1 bonus will play out? Will it be 50k value per bonus share equalling N2 mark down for 4 bonus shares?

But with a total dividend of N200 for a stock that selling at N4,755 isn't that terribly expensive
Even if you get x20 upon listing on ngx, I believe dividend too will be ÷20 so will come to same thing... expect I'm missing something sir?

From my little knowledge of this kinda scenario, I think we should not consider the bolded like ordinary arithmetic.

If/When Aradel lists on NGX, two things could happen:
1. They delist from NASD and list on NGX.
2. They list on both exchanges simultaneously. This is known as Dual Listing.

For both scenarios.
They will offer the equivalent number of shares to existing holders based on a stipulated ratio (just like DANGSUGAR-NASCON).

For scenario 1, there will be the option to be paid off for those who don't want to move with the company to NGX.

For example if you have ₦1million worth of shares in NASD, you'll be given ₦1million worth in NGX...

I stand to be corrected and further enlightened

The per value has nothing to do with the share price or quantity. The only thing that changes is the share capital account on the balance sheet. Any excess amount goes to the share premium account. The market price will still be subject to normal market forces. Correct me if I am wrong.

Not retrogression. Book value of the company remains the same. For each share you had with N10 nominal value, you will thereafter have 20 shares with 50k nominal value.

Direct advantage is that the price of the share becomes "more affordable" from about N4,500 per share to about N225 per share. It improves liquidity for the shares too; other factors remaining constant.
