A SOUTH AFRICAN COMPANY IS BUSY MOPPING UP UACN SUBSIDIARY... MDS LOGISTICS.. # MOP UP UACN https://weetracker.com/2019/08/31/imperial-logistics-invests-mds/ Africa’s leading logistics provider Imperial Logistics Limited has decided to increase its stake in MDS Logistics Limited, a subsidiary of Nigeria’s oldest surviving and largest conglomerate UAC of Nigeria Plc, from 49 to 57 percent. The agreement sees Imperial Logistics get a controlling stake in the company, a transaction for which MDS was valued at USD 40 Mn. In consideration for the extra 8 percent equity stake, the South African firm will transfer selected profitable contracts to MDS and pay the agreed sum in cash, even while the transaction is still subject to relevant regulatory approvals. One of the leading integrated logistics services providers in the West African country, MDS links manufacturers with customers in more than 400 cities and villages across Nigeria via its network of warehousing and distribution assets. The company is a critical supply chain and distribution ally to some of the leading corporate organizations in the country. In a regulatory filing just submitted at the Nigerian Stock Exchange (NSE), Group Managing Director, Fola Aiyesimoju described the transaction as an important milestone for the conglomerate. According to him, the sale is consistent with the company’s strategy of working side by side with partners in empowering best-in-class management teams. UAC and Johannesburg Stock Exchange-listed Imperial Logistics have been partners since 2013 when the first stake acquisition was done, along which line the Nigerian company has been impressed by the latter’s operational excellence in warehousing, distribution, and transport. Imperial Logistics is an African and Eurozone logistics provider of outsourced, integrated freight management, contract logistics, and distributorship. All of its services are customized to ensure the relevance and competitiveness of its clients. The group employs over 25,000 people in 32 countries. Managing Director, MDS Logistics Limited, Taiwo Ajibola, said MDS will remain focused on leveraging its assets, technology, and capabilities to deliver value to its clients. We will continue to benefit from the strengths of our shareholders, Imperial Logistics and UACN”. Chief Executive, African Regions, Imperial Logistics Limited, Johan Truter said working with strong partners is at the core of Imperial Logistics’ strategy as it seeks to expand its businesses across Africa. “We consider Nigeria to be a strategically important market and are excited to continue our partnership with UAC to grow MDS and expand its service offering to clients,” Truter said. Mcy56: There was a last minute block vol of about 150,000 units... which helped push the price(of updc) to a close of 90k. That said, the parent company UACN is still a far much preferable choice to VALUE. Looking @ the reits nominal makt value, the group's intrinsic value, and both entities present price to possible allotment ratio post unbundling(P/B and OS of both coys in view), its makes 'extraordinary sense' to ACCUMULATE UACN now !! I cant say enough !! |

Intendy: Consequences of the UAC Unbundling and UPDC Unbundling: If the Rights Issue, UPDC Unbundling and UAC Unbundling are successfully implemented (following the approvals of Regulators and shareholders), it is expected that: UPDC will no longer own any units in the REIT. UPDC REIT will cease to be an associate company of UPDC UPDC shareholders will become direct unitholders in the UPDC REIT in addition to their shares in UPDC UPDC will cease to be a subsidiary of UAC UAC shareholders will become direct holders of shares in UPDC and units in the UPDC REIT |

Re: Nigerian Stock Exchange Market Pick Alerts by OakPearl(m): 3:03pm On Sep 04, 2019 |
OBAGADAFFI: Absolutely correct. The best decision UACN has made is to let go of UPDC. Out of its 6 revenue segments that includes UPDC, 5 are profit making except UPDC. A cursory look at the last UACN report indicates that without the loss making real estate arm, UACN would have made a profit of around N3bn! A sleeping giant is about to be awakened. |

onegentleguy: OakPearl: U are in line with facts my dear. But apart from the RE business arm, the logistic and quick service restaurant segments also recorded profit decline(pat margin). infact, the latter arm has been relatively unprofitable for sometime now. However with the logistic arm(as I did mention in the past), the group now has more leverage(from the recent 8% further divestiture to imperial SA) That would reproduce a win-win situation where imperial logistics(now the major stakeholder with 57% stake) brings its wealth of expertise and market spread(clientele base) to help drive revenue from more sales at lower effective cost. ...which was primarily the drawback to EBIT with the logistic segment as @ H1, 2019. ...while UACN leverages on the $40M float it shall receive to drive operating cashflow and boost earnings. On the restaurant segment of business, I think it would be best for the group to divest from it completely. That arm has been gulping cost(finance) at a faster rate than it delivers revenue and earnings to the group's top line. ...infact H1, 2019 saw it contribute just a meagre 1.7% of sales to the group's total revenue. It would be nice for UACN to sell off and realign their focus to their core areas of strength... mainly Agric feeds, packaged food, paints and to some extent logistics. I however concur that the sale of the RE arm of business is about the BEST STEP in the right direction and the beginning of a better UACN going forward !!(refer to the post above) Regards. 1 Like |
